I. PARTIES

This document constitutes a　Memorandum of Understanding (MoU) between Science and Technology Park, Savitribai Phule Pune University, India (hereafter referred as STP) and Open Source Geospatial Foundation, USA(hereafter referred to as OSGeo). STP and OSGeo are hereafter referred as “parties”.
II. PURPOSE
The purpose of this MoU is to establish collaborative relationship between STP and OSGeo. Both parties to this MoU share the goal of developing collaboration opportunities for academia, industry and government organizations with the open source geospatial software community in India.
STP has been supporting and advancing Indian national spatial data infrastructure and developing and operating related geospatial systems, through various technical projects, business incubation and academic activities at local, regional, national and international levels.
The Open Source Geospatial Foundation is not-for-profit organization to foster global adoption of open source geospatial technology. OSGeo serves as an outreach and advocacy organization providing financial, organizational and legal support for the open source geospatial community.

III. CONTENT

The MoU will cover the following proposals and topics:

Positive effort to actively use and contribute to open source geospatial technologies in government, industry and academic in India, including STP.
Establish a close cooperation with OSGeo and specifically with the OSGeo Indian Chapter.
Joint R&D activities to introduce OSGeo software and communities to STP Geoinformatics team members and incubating companies, for possible use in the development of geospatial applications.
Continue to help STP customize and localize open source geospatial solutions with the help of the OSGeo Foundation and its India Chapter.
Work towards establishing an Open Source Geospatial Laboratory at "Growth Lab" incubation facility promoted and managed by STP

The parties of the MoU will appoint and maintain a representative to act as liaison and each party may deal exclusively with the liaison appointed by the other party if it so chooses, except as otherwise provided in Exhibit A. The initial liaisons are listed on Exhibit A.

VI. PERIOD OF AGREEMENT

This MoU will be reviewed bi-annually by both parties at which time revisions may be made and the agreement renewed.
